Distinguish investor from operator

Suppose you launch a concierge business with a shareholder living in London. She funds the start while you manage Portuguese property visits. This differs from both shareholders working locally every day. For a restaurant, also allocate kitchen, purchasing and staffing responsibilities. Nationality alone does not define anyone's role or explain whether that person will take part in management, provide services or remain a passive investor.

Prepare identification and signatures

Check what each person already has, the exact name shown on documents and the planned signing method. If someone uses a representative, have authority prepared for the chosen route. Do not assume that a scanned signature resolves every formality or that one participant's access covers everyone in the group.

Describe contributions, holdings, management and decisions requiring joint agreement. Test an urgent purchase or a shareholder leaving. Plan access to accounting information and the frequency of operating reviews. The right to own shares is distinct from the right to live or work in Portugal, which must be considered using nationality and personal immigration status rather than inferred from the company registration.

Build a shared file

Gather identities, residence, nationality, proposed funding and actual responsibilities. Add a signature calendar and matters still under discussion. Your next step is to agree an ownership and authority table, then have foreign documents and any personal procedures reviewed before fixing a launch date. Make sure both shareholders understand the arrangement they are being asked to approve.
