Identify where the money goes

Your concierge company wants an investor to fund a second team. If the investor buys the founder's shares, the price goes to the seller; it does not mean the company receives operating cash. A capital transaction serves a different funding purpose. Have the mechanism and actual cash destination examined before negotiating only a percentage or assuming the announced investment will pay the company's expenses.

Review existing rights

Read current articles, holdings, management authority and shareholder agreements. Have consent requirements, applicable rights and decision arrangements checked for the chosen structure. Registry services distinguish capital changes, changes to clauses and acts affecting quotas. This is not a fresh incorporation: procedures should reflect changes in the company that continues trading, with its existing contracts, history and responsibilities still relevant to the incoming shareholder.

Prepare operational participation

Describe what the new shareholder contributes beyond money: work, customers or management responsibility. Compare economic rights, access to information and reserved decisions. Consider delayed sales or the shareholder stopping work. Share ownership, a management appointment and remuneration are separate matters; explain each in the agreement instead of assuming that one percentage determines all aspects of the person's role or future compensation.

Validate before transferring funds

Gather current articles, registry records, recent accounts, the financial proposal and the incoming shareholder's identity. For a foreign company, add representation and beneficial ownership evidence. Your next step is review of the transaction and documents, followed by a calendar for signatures, payments and necessary updates. Every movement should identify payer, recipient and the holding or funding arrangement being changed.
