Starting a Portuguese company as a couple

Working together and owning a company together are separate decisions. Agree contributions, operating responsibilities and decision rights before selecting the structure for your shared business.

Test the daily operating model

In a concierge business, one partner might handle owners while the other coordinates visits. A restaurant divides responsibilities differently between kitchen and front of house. Write down who approves expenses, arranges cover and signs contracts. Being a couple does not mean equal ownership, identical pay or that both people must manage the company. Start with the actual work each person expects to do.

Separate ownership from family arrangements

Give the professional preparing the documents your relevant marital status, property regime or agreements, countries involved and source of funds. Do not assume one property rule covers every couple. The articles address matters including shareholders, contributions and management; their wording needs to fit both your personal circumstances and the authority you want each person to exercise in the company.

Rehearse a difficult decision

Consider one partner wanting another vehicle while the other wants to preserve cash. Agree how that decision will be resolved and have suitable provisions reviewed for deadlock, prolonged absence or departure. Distinguish repayment of an advance, payment for work and rights attached to shares. Time committed to the business should not be confused with a contribution already formally documented or money available in its account.

Prepare the next conversation

Gather identities, relevant family information, planned contributions and household needs during launch. Add a responsibilities table and decisions requiring joint agreement. Your next step is to compare sole ownership with multiple shareholders, then formalise the chosen arrangement before committing to premises or initial customer contracts. Record remaining disagreements explicitly so they can be resolved before signing.

Portugal

Before you incorporate

Registering as self-employed and incorporating a company are different routes. The choice depends on how your business actually operates. A Portuguese company alone does not determine your tax residence or the treatment of every source of income.

Information to gather

  • Your country of residence and where you actually work.
  • A description of the services or products you sell.
  • Whether your customers are businesses or individuals, and their countries.
  • Any shareholders, existing business structure and your planned timing.
