Identify the actual entity
Consider a Delaware corporation planning a Portuguese sales team. The US company can own a separate subsidiary; a branch remains an extension without separate legal personality. If your entity is an LLC or is formed in another state, say so explicitly. Do not derive its documents or US treatment from an example limited to Delaware, or assume a familiar trading name identifies the legal shareholder.
Locate the issuing authority
Delaware's Division of Corporations describes status certificates and certified copies. Choose records according to what the Portuguese service needs to verify. A federal tax identifier and a certificate of existence do not necessarily establish the same facts. Add internal documents demonstrating who can represent the entity and which decision authorises participation in the Portuguese company and its proposed funding.
Make ownership understandable
Draw each ownership level through to the individuals controlling the structure, with jurisdiction and documented holdings. List contributions, funding, sales commissions and intercompany services. For the sales team, identify who signs customer contracts and who invoices. Have the relevant US reporting requirements reviewed without assuming that an LLC and a corporation share the same tax classification or filing obligations.
Coordinate both reviews
Collect registry evidence, current formation documents, representative authority and the applicable decision. Confirm Portuguese identifiers required for the foreign shareholder and acceptable document formats. Your next step is a shared file for US and Portuguese advisers showing the state, entity type, ownership chart and a sample contract. Complete that review before fixing payment routes or promising when the Portuguese operation will begin trading.
