A subsidiary has separate legal personality; a branch represents the UK company without its own personality. Compare the structures against actual contracts, management responsibilities and funding needs instead of treating either name as an interchangeable label.
Order the right registry evidence
Companies House offers certified documents and certificates containing certain facts. Those certificates do not include shareholders or people with significant control. They therefore cannot replace a full ownership chart. Confirm what the Portuguese service needs before ordering a copy, an official signature or any additional legalisation. Keep the required document content separate from the authentication process and from its delivery arrangements.
Prepare authority and transactions
Gather current articles, the investment decision, representative authority and requested beneficial ownership evidence. Describe intercompany invoices, currencies, brand licensing and expenses paid in advance. If the parent sells goods to the subsidiary, add a separate logistics diagram: verifying the shareholder's corporate documents does not settle trading procedures for those shipments or identify which entity will import them.
