A Belgian company opening a Portuguese subsidiary
The Belgian enterprise number, published deeds and representative authority serve different purposes. Organise the evidence around the Portuguese subsidiary’s ownership, trading role and funding needs.

Start with a distribution project
A Belgian company wants a distributor it controls in Portugal. The subsidiary is a separate company with its own contracts and management; a branch remains an extension of the parent without separate legal personality. If individuals invest alongside the parent, specify their holdings and rights. Using the Belgian brand does not establish who owns the Portuguese entity or who can commit its funds.
Connect registration and authority
Belgian FPS Economy describes registration with the Crossroads Bank for Enterprises and publication of deeds in the Belgian Official Gazette. Use the enterprise number to identify the entity, then compare current articles and changes in representation. A registry identification alone does not demonstrate that the person signing is authorised to incorporate the subsidiary or approve the planned investment on behalf of the parent.
Map financing and inventory
For this distributor, separate initial equity, merchandise purchases, possible supplier credit and support services. Identify who owns stock, handles returns and sets trading terms. Prepare a sample parent-to-subsidiary order showing delivery, payment and invoicing. This helps advisers examine real transactions without assuming a single tax treatment for every movement or confusing an unpaid supplier invoice with a capital contribution.
Confirm the document route
Gather existence evidence, current articles, the relevant decision and beneficial ownership chain. State the actual language of each document, which may differ from the language used with your adviser. Request Portuguese requirements for those specific records. Your next step is an indexed file connecting registry evidence, representative powers and the proposed investment, with inconsistencies resolved before signature.
Portugal
Before you incorporate
Registering as self-employed and incorporating a company are different routes. The choice depends on how your business actually operates. A Portuguese company alone does not determine your tax residence or the treatment of every source of income.
Information to gather
- Your country of residence and where you actually work.
- A description of the services or products you sell.
- Whether your customers are businesses or individuals, and their countries.
- Any shareholders, existing business structure and your planned timing.
